    1. In response to the Select Board’s request, I am reviewing the proposed changes in the fee addendum to our Municipal Advisor Agreement that are slated to take effect July 1, 2023.

    2. There are no changes in our fees for municipal advisory services for bonds or individual note issues with legal opinion and disclosure.

    3. There are no changes in our fees for multiple issues sold on the same day, except for multiple note issues with disclosure. The current schedule splits our minimum fee for note issues ($7,500) with the balance of fees calculated according to our schedule with a combined minimum fee of $7,500. The new schedule states that the “Note fee will apply as per fee schedule, plus expenses to the series of notes with the largest par amount of bonds to be issued as stated in the preliminary official statement. Additional series note fee will be reduced to $2,500 total plus expenses for each series of Notes. Such fees will be subject to the approval of the principal of UFASI.” This change does not apply to notes issued through the Division of Local Services.

    4. Fees for issues certified by the Division of Local Services (“state house notes”) will change as follows: for temporary notes where UFASI prepares the notes, from $550 to $650 per issue, for permanent state house notes, from $1,100 to $1,500 per issue, for issues where the issuer prepares the notes, from $400 to $500 per issue.
    5. The fee for other professional consulting services billed hourly increases from $200 per hour to $250 per hour. Maximum hourly fees remain subject to negotiation. Some specific services subject to hourly billing change have changed. Assistance with Statements of Indebtedness and DE-1 are no longer specifically included as subject to the hourly fee.
    6. Our fee for preparing and filing full continuing disclosure annual reports goes from $2,000 to $2,250 per filing (these are annual). The fee for a filing of a recent official statement as the continuing disclosure annual report is unchanged at $500.
    7. There are no other changes in fees.
